Terms of Use for Starnus Technology B.V. Website

1. Acceptance & Scope

By creating an account, purchasing credits, connecting a third‑party integration, engaging Starnus for managed or professional services, or using any Starnus Service—including our web, desktop, or mobile applications, browser extensions, command‑line tools, APIs, SDKs, agents, managed outbound services, forward‑deployed expert engagements, or other software and services (the "Services")—you ("User," "Client," or "you") agree to these Terms of Use ("Terms"). If you do not agree, do not use the Services. These Terms incorporate by reference our Privacy Policy and any rules or guidelines we publish in‑product. Where a separate Managed Service Agreement or similar engagement‑specific contract exists between you and Starnus, that agreement shall prevail over these Terms to the extent of any conflict with respect to the managed services described therein.

2. Eligibility & Account Registration

  • Minimum age 16. If you are under 18 you must have parental or guardian consent.
  • Accurate information. You must provide true, complete registration details and keep them updated.
  • Account security. Keep credentials confidential and notify us of any unauthorised use.
  • Corporate domains. If you sign up with a company email, that organisation may assume control of your account.
  • Authority. If you create an account on behalf of an entity, you represent that you have authority to bind it to these Terms.

3. Plans, Credits & Pricing

  • Free trial. New accounts receive a one‑time allocation of 12,000 free trial credits. A valid payment method (credit card) and selection of a paid plan are required before you can use the free trial credits. No charge is made during the trial period.
  • Trial activation. If your free trial credits are exhausted before the trial period ends, you will be prompted to activate your selected plan immediately. Upon your explicit consent, your card will be charged and the paid subscription begins. If the trial period ends naturally (7 days), your selected plan is activated and your card is charged automatically.
  • Subscription plans. Starnus offers recurring monthly and annual subscription plans (e.g., Pro, Pro+, Ultra, Enterprise) with varying credit allocations and features. Current plan details and pricing are displayed on our website and in‑app upgrade page. Prices may be shown in EUR, USD, or GBP depending on your location.
  • Credit reset. Credits are reset to your plan's allocation at the start of each billing cycle. Unused credits do not roll over to the next period.
  • Non‑refundable. Credits are non‑refundable and non‑transferable.
  • Fees are exclusive of applicable VAT or similar taxes, which you must pay.

4. Licence & Acceptable Use

Starnus grants you a limited, non‑exclusive, revocable licence to access and use the Services for lawful purposes. You agree not to:

  • Violate any law or regulation.
  • Infringe the intellectual‑property, privacy, or other rights of others.
  • Upload or generate content that is fraudulent, defamatory, obscene, hateful, or otherwise objectionable.
  • Reverse‑engineer, probe, or bypass any security or rate‑limit.
  • Use output to train competing AI models or falsely represent AI output as human‑created.
  • Automatically scrape or extract data or outputs, except through our documented APIs within rate limits.
  • Create deepfakes or deceptive impersonations prohibited under the EU AI Act.

5. Managed & Professional Services

  • Forward‑Deployed Expert & Managed Outbound. Starnus may offer managed service engagements (such as Forward‑Deployed Expert packages) in which Starnus personnel use the platform and related tools to perform lead generation, outreach, and growth services on a Client's behalf. These engagements are governed by a separate Managed Service Agreement between Starnus and the Client.
  • Relationship to these Terms. Where a Managed Service Agreement exists, it supplements these Terms. In the event of a conflict, the Managed Service Agreement shall prevail with respect to the managed services described therein. All other provisions of these Terms remain in full effect.
  • No guaranteed outcomes. Managed services involve outreach to third‑party prospects whose responses depend on market conditions, audience receptivity, platform availability, and other factors outside Starnus's control. Starnus does not guarantee any specific number of leads, meetings, reply rates, conversions, or other business outcomes. Any estimates or projections are aspirational and provided for planning purposes only.
  • Client cooperation. Successful outcomes depend on timely Client cooperation, including providing accurate information, approving campaigns, and fulfilling agreed responsibilities. Starnus shall not be liable for diminished results attributable to Client delays or non‑cooperation.

6. Outreach & Communication Compliance

  • User responsibility. When you use the Services—or when Starnus operates on your behalf under a Managed Service Agreement—to send outbound communications (including emails, LinkedIn messages, and other electronic messages) to third‑party prospects, you are responsible for ensuring that such communications and your target audiences comply with all applicable laws and regulations, including but not limited to GDPR, the ePrivacy Directive, CAN‑SPAM Act (US), CASL (Canada), and any other anti‑spam or data‑protection legislation applicable in your target jurisdictions.
  • Content accuracy. You warrant that all content, claims, testimonials, and materials you provide or approve for use in outreach campaigns are accurate, truthful, not misleading, and do not infringe any third party's rights.
  • Best practices, not legal advice. Starnus applies commercially reasonable best practices for deliverability and compliance (e.g., opt‑out mechanisms, domain warm‑up, volume management) but does not provide legal advice and is not responsible for your legal compliance obligations.
  • Platform policies. You must also comply with the terms of service of any third‑party platforms used in connection with outreach (e.g., LinkedIn, email service providers). Starnus is not liable for account restrictions or penalties imposed by third‑party platforms.

7. Third‑Party Integrations, Output & Software

  • When you connect an external app, database, or browser—or invoke a third‑party AI agent—you authorise Starnus to transmit prompts, context, and the minimum data required for functionality.
  • Third‑party providers act as processors under GDPR and must protect your data, but Starnus is not liable for the accuracy or legality of their output.
  • Due to the nature of machine learning, output may be non‑unique; other users can receive similar or identical results.
  • The Services and any downloadable software may update automatically so you always run the latest version.

8. Feedback

We welcome feedback and may use it without restriction or compensation to you.

9. Intellectual Property

We and our licensors retain all rights in the Services, including underlying models and software. You may use Starnus' name and logo only in accordance with our brand guidelines.

10. Payments, Subscriptions & Refunds

  • All payments are processed securely by Stripe. Starnus does not store full card numbers.
  • Recurring billing. Subscriptions renew automatically at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date.
  • Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period—you retain access until then. No partial refunds are given for the remaining period.
  • Plan changes. Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing cycle.
  • Failed payments. If a payment fails, Starnus may suspend access to paid features until the balance is settled. Stripe will retry the payment according to its retry schedule.
  • Except where required by law, all fees are non‑refundable.

11. Account Deletion

Deleting your account is permanent and cannot be undone. Deletion immediately cancels any active Stripe subscription and removes your Stripe customer record, ends access to all Services, credits, API keys, and integrations. Your personal data are erased within 30 days except for limited records we must retain by law (e.g., invoices). Unused credits are forfeited. Premium agent connections (e.g., LinkedIn automation) may require manual disconnection by our team.

12. Service Suspension, Termination & Discontinuation

Starnus may suspend or terminate your access if: (a) you breach these Terms or our policies; (b) required by law; or (c) your use poses a security or legal risk. Accounts inactive for 12 months with no paid credit balance may be closed after advance notice. We may discontinue any Service, but will give reasonable advance notice and a pro‑rated refund for prepaid, unused credits.

13. Disclaimer of Warranties

THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES—EXPRESS, IMPLIED OR STATUTORY—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. YOU USE OUTPUT AT YOUR OWN RISK AND SHOULD NOT RELY ON IT AS A SOLE SOURCE OF TRUTH OR PROFESSIONAL ADVICE. WITHOUT LIMITING THE FOREGOING, STARNUS DOES NOT WARRANT OR GUARANTEE ANY SPECIFIC BUSINESS OUTCOME, RESPONSE RATE, NUMBER OF LEADS, NUMBER OF BOOKED MEETINGS, CONVERSION RATE, REVENUE RESULT, OR OTHER PERFORMANCE METRIC IN CONNECTION WITH ANY SERVICE, INCLUDING MANAGED OR PROFESSIONAL SERVICES. ANY ESTIMATES, PROJECTIONS, OR TARGETS ARE ASPIRATIONAL AND PROVIDED FOR PLANNING PURPOSES ONLY.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARNUS' AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES—INCLUDING SELF‑SERVICE PLATFORM USE AND MANAGED OR PROFESSIONAL SERVICES—WILL NOT EXCEED THE GREATER OF (A) €100 OR (B) THE TOTAL FEES YOU PAID TO STARNUS IN THE 12 MONTHS BEFORE THE CLAIM, WHETHER UNDER THESE TERMS, A MANAGED SERVICE AGREEMENT, OR OTHERWISE. STARNUS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS OPPORTUNITIES, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES.

15. Indemnification

If you are a business user, you will indemnify, defend, and hold Starnus and its officers, directors, employees, affiliates, and agents harmless from any third‑party claim, damage, loss, liability, cost, or expense (including reasonable legal fees) arising out of or relating to: (a) your content, data, or materials provided or approved for use in any Service, including outreach campaigns; (b) your integrations or third‑party connections; (c) your breach of these Terms or any Managed Service Agreement; (d) the accuracy, legality, or nature of your products, services, or business practices; or (e) claims by prospects, recipients, or other third parties arising from outreach activities performed using your content or instructions.

16. Trade Controls & Export Compliance

You must comply with all applicable export‑control and sanctions laws. The Services may not be used in, for the benefit of, or exported or re‑exported to any country or person subject to embargoes or sanctions, nor for any end use prohibited by law.

17. Governing Law & Dispute Resolution

These Terms are governed by Dutch law. The competent courts of Eindhoven have exclusive jurisdiction unless we mutually agree to arbitration under the Netherlands Arbitration Institute rules.

18. Miscellaneous

  • Assignment. You may not transfer these Terms without our written consent; we may assign them to an affiliate or successor.
  • No waiver. Failure to enforce a provision is not a waiver of future enforcement.
  • Severability. If any provision is unenforceable, the remainder remains in effect.
  • Entire agreement. These Terms constitute the entire agreement between you and Starnus regarding the Services and supersede all prior agreements, except any Service‑specific terms that expressly prevail.
